Senior Legal Counsel- Commercial Contracts
Fantastic opportunity to join PPD's legal councel team at our global headquarters in Wilmington, NC!

This is a Senior Counsel opportunity that will be responsible for managing and negotiating commercial contracts, while managing two junior attorneys.


Senior, line manager position within PPD's commercial contracts negotiation division of PPD's legal department. The commercial contracts team are based in Europe and the US and handle the negotiation of PPD's commercial contracts globally.

Key Responsibilities

/Negotiates a variety of commercial contracts between PPD and third parties (client and suppliers), and in respect of these negotiations and commercial contracts:/

* /Drafts, reviews, negotiates and provides legal advice in respect of complex agreements with third parties./

* /Serves as a legal advisor to PPD and its internal functions and senior and executive management./

* /Uses experience and expertise to identify and mitigate risks where possible in respect of PPD's contractual relationships with clients and suppliers, and ensures senior management are apprised of any remaining risks with the information necessary to make informed business decisions./

* /Advises internal customers and senior and executive management of risk and mitigation strategies and serves as a member of tactical or strategic planning committees.///

* /Manages more junior members of the department and assists in handling escalations and complex commercial contract negotiations.///

* /Assists in other legal matters, as requested by departmental management, and participates in committees as needed.///

* /Provides training to other functional groups within PPD on contract requirements and other legal matters./


Education and Experience:

Bachelor's degree and advanced degree in law (juris doctorate or equivalent educational model in other jurisdictions). Previous experience that provides the knowledge, skills, and abilities to perform the job (comparable to 9 years); or an equivalent combination of education, training, & experience.

* Proficient MS Excel and MS Word skills

* Mastery drafting and negotiation skills with proven track record

* Must be able to work independently and as a team player

* Must be able to strategically develop processes and strategies designed to increase efficiencies while minimizing risks and train/provide direction to other departments

* Must be able to manage other more junior employees within the department

* Ability to apply knowledge of and adhere to all PPD and Client SOPs, WPDs and other regulations in all aspects of project implementation, execution and closeout

* Advises senior and executive management on unique and complicated legal matters and issues that potentially have an enterprise-wide impact

Management Role:

Management responsibility and providing oversight to a small unit or group of employees/contractors performing the same or similar individual tasks. The employees/contractors may be located remotely.

Working Conditions and Environment:

* Work is performed in an office environment with exposure to electrical office equipment

* Occasional travel both domestic and international

* Exposure to high pressure, intense concentration needed

* Must pay constant attention to detail-visual, mental

* Must be able to multi-task constantly

* Frequent interaction with clients / associates required

* Long, varied hours required occasionally

Physical Requirements:

* Frequently stationary for 6-8 hours per day.

* Repetitive hand movement of both hands with the ability to make fast, simple, repeated movements of the fingers, hands, and wrists.

* Frequent mobility required.

* Occasional crouching, stooping, bending and twisting of upper body and neck.

* Light to moderate lifting and carrying (or otherwise moves) objects including boxes, luggage and laptop computer with a maximum lift of 50 lbs.

* Ability to access and use a variety of computer software developed both in-house and off-the-shelf.

* Ability to communicate information and ideas so others will understand; with the ability to listen to and understand information and ideas presented through spoken words and sentences.

* Frequently interacts with others to obtain or relate information to diverse groups.

* Works independently with little guidance or reliance on oral or written instructions and plans work schedules to meet goals. Requires multiple periods of intense concentration.

* Performs a wide range of variable tasks as dictated by variable demands and changing conditions with little predictability as to the occurrence. Ability to perform under stress. Ability to multi-task.

* Regular and consistent attendance.
